Smith, Gambrell & Russell, LLP Advises Colas on $480 Million Acquisition of Suit-Kote Corporation

Firm News

ATLANTA, GA (October 28, 2026) – Smith, Gambrell & Russell, LLP (“SGR”) advised Colas Inc., the U.S. subsidiary of global transport infrastructure company Colas, a Bouygues Group company, in its acquisition of 100% of the shares of Suit-Kote Corporation from the Suits family, based on an enterprise value of approximately US$480 million. The transaction closed on October 20, 2026, following pre-closing notification required by the Hart-Scott-Rodino Antitrust Improvements Act, investigations by the Department of Justice and New York and Pennsylvania Attorneys General, early termination granted by the Department of Justice, and remedies agreed to with New York and Pennsylvania Attorneys General and approved by the United States District Court for the Western District of Pennsylvania.

Suit-Kote, a 105-year-old family business, specializes in the distribution of liquid asphalt, the production of emulsion blends, and pavement construction and preservation services across several northeastern U.S. states. According to Colas, the acquisition strengthens its industrial footprint in North America and enhances its position in the region’s asphalt distribution market.

“This was a complex, multi-year transaction that required close coordination among our corporate, antitrust, real estate, employee benefits, environmental, tax, and litigation lawyers,” said Robert C. Hussle, the SGR partner who led the transaction. “We are proud to have helped our longtime client Colas reach the closing table and look forward to supporting its continued growth in the United States.”
