About Lisa
Lisa Rhein Carrasco is a Partner in the Employee Benefits, Executive Compensation, and ERISA Litigation practice. She advises employers, health systems, financial institutions, nonprofit organizations, and boards of trustees on employee benefits and ERISA matters, with a focus on qualified retirement plans and health and welfare plans.
Lisa counsels clients on the design, administration, correction, and termination of retirement plans and health and welfare plans. She regularly advises ERISA fiduciaries and plan committees on compliance, governance, plan administration, and regulatory risk.
Her practice includes:
- IRS, DOL, and PBGC audits and investigations
- Correction of operational and documentary failures under EPCRS and other correction programs
- Design and administration of retirement and health and welfare plans
- Employee benefits issues in mergers, acquisitions, spin-offs, and plan transitions
Lisa also advises on specialized benefit arrangements, including MEWAs, church plans, multiemployer plans, self-insured health plans, and Section 457(b) arrangements. Her health and welfare practice includes Affordable Care Act, Mental Health Parity, HIPAA, COBRA, and related compliance matters.

Representative Matters
- Advises fiduciary committees of large retirement plans, including a $4.5 billion 401(k) plan, on ERISA compliance, governance, investment oversight, and service provider matters.
- Represents a Fortune 500 financial services company on the administration of retirement and health and welfare plans, including benefits due diligence and integration in corporate transactions.
- Led employee benefits work in connection with a major corporate spin-off, including implementation of a new 401(k) plan and preparation of plan documentation and IRS filings.
- Counsels a major healthcare system on retirement and health plan compliance, including obtaining a full waiver of approximately $1.3 million in employer shared responsibility penalties assessed by the IRS.
- Represents clients in pension plan terminations, including regulator coordination, annuity lift-outs, and IRS determination letter filings.
- Advises religious and nonprofit organizations on church plan issues, including compliance, restructuring, and matters involving fiduciary breach claims.
- Represents a large self-insured MEWA on plan administration, regulatory compliance, state insurance matters, and Department of Labor audits.
- Counsels clients on HIPAA, COBRA, Mental Health Parity, Affordable Care Act compliance, and third-party administrator and vendor agreements.
