Dan Gili represents clients in a broad range of business and commercial transactions, with a concentration on real estate and corporate matters, including acquisitions, dispositions, commercial lending, mergers and acquisitions, asset purchases, and general corporate representation. Dan serves real estate investors, developers, financial institutions, lenders, and private companies navigating transactions where deal execution and financial structure must align with business strategy. With nearly a decade of experience structuring commercial real estate deals and advising on corporate transactions, he brings practical clarity to complex, multi-party matters. Clients benefit from his responsiveness, attention to due diligence, and ability to move transactions forward efficiently.
Dan's practice centers on commercial and residential real estate transactions and corporate matters that require both transactional precision and business judgment. He negotiates and drafts commercial leases for retail, office, and industrial properties, as well as purchase and sale agreements, easements, deeds, and financing documents. Dan conducts title and due diligence reviews, coordinates closings, and guides clients through each stage of acquisition, disposition, and financing transactions. Dan regularly counsels financial institutions on lending transactions, reviewing and negotiating loan documentation, and security agreements.
In his corporate practice, Dan advises businesses on mergers and acquisitions, asset purchase transactions, corporate governance, shareholder agreements, operating agreements, and commercial contracts. This dual capability allows him to serve clients whose real estate needs intersect with corporate structure, financing strategy, or ownership transitions.
Before joining Smith Gambrell & Russell, Dan spent nine years at a boutique firm in New York, where he built a diverse transactional practice representing investors, developers, lenders, and corporations. His work included negotiating complex commercial agreements, managing ACRIS filings and deed preparation, and coordinating multi-party closings.
