For over 25 years, Eric Breitman’s practice has focused on advising domestic and multinational corporations, focusing on the areas of beauty, fashion, luxury goods, entertainment, media, beverage alcohol and other consumer products companies, financial services organizations, life sciences organizations,  and individual strategic investors in the areas of corporate finance, strategic investments, commercial law, intellectual property, entertainment, media and advertising, privacy, cybersecurity, and information management.  He helps clients navigate complex corporate finance, commercial law, intellectual property, cybersecurity, and information management transactions. Eric’s distinctive approach combines over 25 years of experience, both in-house and in private practice,  with a focus on cross-cultural business dealings and risk analysis, enabling clients to pursue growth strategies with practical clarity and confidence.  Eric’s client base consists primarily of entrepreneurs and executives who look to Eric to distill complex issues into easily understood language.

Eric’s areas of expertise include mergers & acquisitions, strategic investments, joint ventures, securities, international commercial agreements, corporate finance, intellectual property licensing, information governance, compliance, and regulated areas such as cosmetics, food and drugs and cybersecurity.

Eric has experience serving as outside general counsel for clients in all stages of growth, as well as serving as of counsel in midsized law firms in New York. For close to fifteen years, he served as Vice President, Assistant General Counsel at Coty Inc., a global, publicly-traded beauty company, based principally in New York, Paris and Geneva, focusing on corporate, commercial, intellectual property licensing and protection, technology, and regulatory matters. He was also General Counsel for Lokai, a start-up lifestyle and accessories brand.

Representative Matters

Fashion, Beauty, Apparel and Luxury Goods

  • Served as outside general counsel to companies in the beauty, fashion, luxury goods, marketing, technology and food and beverage industries.
  • Represented a U.S. based apparel company in its $40 million acquisition and licensing of a socks and apparel brand.
  • Represented a U.S. based apparel company in the purchase of multiple strategic brand licenses.
  • Advised both international and domestic fashion design houses and beauty and apparel companies on various legal matters concerning their lines of high-end products.
  • Advised global beauty manufacturer in negotiations of a joint venture with a leading Korean home and housewares company for the manufacture, distribution and sale of fragrance and beauty products in Korea.
  • Represented multiple sophisticated investors in the beauty and luxury goods space with regard to their strategic investments in a wide array of companies, ranging from start-ups to well-formed enterprises.
  • Negotiated multiple IP licenses, for both licensors and licensees for beauty, fashion and apparel clients.

Entertainment

  • Represented a U.S. based entertainment company in an $85 million corporate restructuring, including, the consolidation of its record label subsidiaries and, thereafter a subsequent investment from a major global entertainment conglomerate.
  • Represented a strategic investor who focuses on the entertainment industry on its purchase of material ownership positions of a talent agency, a concert venue operating company and a licensed merchandising brand.
  • Represented a theatrical investor in investments theatrical productions in the U.S., Ireland and Asia.
  • Represented producers and talent in negotiations with television, film and production companies.
  • Negotiated podcasting agreements for podcast hosts and producers.

Corporate Finance

  • Represented the U.S. subsidiaries of an Israeli parent company in connection with the company’s bank refinancing with a Canadian subsidiary of an American multinational financial services corporation.
  • Advised numerous companies, international and domestic, regarding corporate formation structure, governance, compliance, and finance matters.
  • Advised and negotiated strategic acquisitions for rapidly growing logistics and service delivery companies, directly contributing to their successful growth and expansion.
  • Advised numerous U.S. and Canadian companies on General Data Protection Regulation (GDPR) compliance, providing counsel on how to implement best practices and what steps should be taken in the case of a data breach.
