About Jason

Jason Huff represents banks, financial institutions, equipment finance companies, lenders, borrowers, lessors, lessees and other parties involved in the transportation industry in leveraged finance, acquisition finance, and other transactions. He has wide-ranging experience representing lenders and lessors in all aspects of domestic and cross-border equipment and structured finance transactions with specific focus on transactions involving aircraft and rail equipment. Both the complexity of the financing arrangements and the unique issues presented by these assets require highly specialized and valued legal expertise.

Jason represents clients in all aspects of equipment finance and in all types of equipment financing structures, including single-investor and syndicated lease and loan transactions, leveraged financings, true/ tax motivated leases, synthetic leases, TRAC leases and other domestic and cross-border financings. He also advises clients in lease and loan portfolio purchases and sales and company acquisitions and divestitures.

Jason speaks regularly at aviation and rail conferences and conducts workshops for clients on a wide range of topics in equipment finance. Jason is an Adjunct Professor at Wake Forest University School of Law.

Representative Matters

  • Represented the lenders in more than $350 million aircraft financing transactions involving aircraft registered in the U.S. and foreign jurisdictions.
  • Represented the seller in $90 million sale and assignment transactions of portfolios of railcars and related leases.
  • Represented the purchaser and borrower in $325 million aircraft acquisition and financing transactions involving nine foreign jurisdictions.
  • Represented the lessor in $140 million lease transaction involving new railcars.
  • Represented the lessor in $21 million aircraft synthetic lease transaction.
