About Andrew

Andrew Keen is a corporate attorney who advises clients on mergers and acquisitions, corporate governance, and commercial transactions. He has extensive experience in franchise and dealership matters, securities, and general corporate issues. Andrew regularly manages diligence for buy- and sell-side acquisitions, including transactions involving representation and warranty insurance. He also counsels emerging companies on structuring equity incentive programs and raising capital through convertible notes, SAFEs, and preferred equity.

During law school at Emory University, Andrew gained in-house and academic experience as an intern for a national restaurant franchisor and as a research assistant in corporate governance and trademarks. He also interned at an Atlanta angel investment fund, conducting due diligence and briefing investors on start-up opportunities. Before practicing law, Andrew worked as a private equity analyst, sourcing lower middle-market deals and as a financial advisor, providing advice on portfolio management and retirement strategies.
