ATLANTA (January 7, 2019) – Smith, Gambrell & Russell, LLP (SGR) is pleased to announce that firm client, Luminex Corporation (Luminex; NASDAQ: LMNX), has closed on its acquisition of MilliporeSigma’s flow cytometry portfolio. The acquisition is expected to contribute $40 million to $50 million in revenue to Luminex in 2019. SGR served as legal counsel to Luminex in the transaction totaling $75 million in combined stock, asset, and inventory purchases.
The strategic acquisition enhances Luminex’s existing offering of flow-based detection systems, which further differentiates its portfolio while simultaneously expanding the company’s direct interactions with researchers conducting cellular analysis. Luminex’s installed base now includes more than 5,000 flow cytometry systems worldwide with the potential for additional meaningful growth to support customers into the future.
MilliporeSigma’s flow cytometry portfolio includes Amnis®, the market-leading family of imaging flow cytometry products for cell-based analysis, as well as their Guava® portfolio of products, which are economical, high-performance systems based on microcapillary technologies.
SGR Partner Jonathan Minnen, in the firm’s Mergers & Acquisitions Practice, served as lead transaction counsel for Luminex, along with Richard Rew, the Senior Vice President and General Counsel for Luminex. Associate Heiko Gruenwald, in SGR’s Atlanta Corporate Practice, also assisted.
