Jonathan M. Minnen is a Partner in the Corporate Practice of Smith Gambrell Russell LLP and is a member of the Firm’s M&A Practice, Manufacturing Practice, Health Care Practice, and International Practice Groups.
Mr. Minnen has extensive experience in a wide range of U.S. and overseas business transactions, including mergers and acquisitions, venture capital and private equity investments, ongoing transactional matters, and corporate advisory work.
Mr. Minnen’s clients range from emerging and growth-stage companies with particular promise to mature, established companies. His practice includes not only the traditional private and public companies but also family enterprises. In representing these family enterprise businesses, with their unique governance and multi-generational planning dynamics, Mr. Minnen draws on his own experience in a multi-generational family business before his legal career. He is a member of the Attorneys for Family- Held Enterprises. For some of his clients, Mr. Minnen functions as de facto outside general counsel. He is responsible for managing those clients’ entire legal portfolios, which involves routinely teaming with other Firm practice groups to achieve the client’s objectives.
Mr. Minnen’s practice draws from substantial experience in multiple industries, including manufacturing of industrial, commercial, and consumer products, medical devices (diagnostic and therapeutic), IoT, robotics, cyber-security, heavy industrial, textiles, and beverage bottling. Mr. Minnen’s legal counsel is for both purely domestic companies and the U.S. operations of foreign companies, including companies from Japan, the United Kingdom, Germany, France, and especially Israel. Mr. Minnen is the Founder and Head of the Firm’s Israel Practice Group. When commenting on the most enjoyable part of his practice, Mr. Minnen said, “I enjoy helping clients and collaborating with their allied advisors to ‘think outside the box’; not only what is in front of them now, but also how addressing current needs will impact short-term tactical objectives and long-term strategic plans. Legal advice should not be provided in a vacuum. It should be considered part of a holistic approach considering the entire company and its objectives.”
Mr. Minnen earned his Juris Doctor degree from the Emory University School of Law in 1988, where he was on the Dean’s List. The law school faculty elected him to be a national member of the Order of Barristers. He was also a member of the Moot Court Society, winning the 1987 Law Day Competition and receiving the Arthur K. Bolton Best Brief Award.
Mr. Minnen is a member of the New York, Georgia and North Carolina bars and practices from the Atlanta, Charlotte, and New York City offices of the Firm.
