SGR Represents Atlanta-Based o2wireless Solutions, Inc. in Merger with Baran Group, LTD.

ATLANTA (December 4, 2002) — Atlanta-based law firm, Smith, Gambrell & Russell (SGR) represented client o2wireless Solutions Inc. in its merger with Israel-based Baran Group, Ltd., a global provider of engineering, technology and construction solutions. SGR Partner Terry Ferraro Schwartz represented o2wireless in the transaction, which closed on November 13 and is one of two significant international mergers SGR has handled this year.

Schwartz handled all aspects of the transaction for o2wireless and its shareholders, including negotiation of the merger agreement and related documents and the preparation of the merger proxy statement. At a shareholders meeting on November 12, o2wireless’ shareholders voted to approve the merger with Baran Group. Each shareholder of o2wireless stock will receive 0.014919 ordinary shares of Baran. Baran’s shares are now listed on NASDAQ as “BRAN.”

“The combined strengths of the new Baran Telecom subsidiary’s staff, infrastructure and customer base well exceed its competitors. As a larger and more diversified company, the newly formed team will be able to bring unique value to its customers on a global scale,” said Attorney Terry Schwartz.
