Madeline Wakim is an Associate in the Corporate Practice of Smith, Gambrell & Russell, LLP.
Madeline advises clients on a wide range of corporate transactions, financings, and general business matters. She has experience drafting and negotiating purchase and sale agreements, joint venture agreements, operating agreements and financing arrangements for transactions valued up to $300 million. She has successfully managed diligence projects for both buy and sell side acquisitions, including deals seeking representation and warranty insurance coverage, working with clients across industries including energy, healthcare, software, technology, equipment rental, and natural resources. Additionally, she has implemented new employee incentive equity programs for various clients and has experience with mature employee incentive equity programs, including non-competition covenant violations and claw backs. She works with general counsel for various clients, providing strategic corporate guidance while balancing stakeholder objectives. Her experience has also extended to real estate transactions, where she assists with purchase agreements, leases, and overall transaction management.
Madeline is an Atlanta local and earned her J.D. from Emory University School of Law. While in law school, she served as Executive Note and Comments Editor or the Emory Bankruptcy Developments Journal. Madeline earned her B.S. in Environmental and Natural Resources, graduating magna cum laude from Clemson University.
In her free time, Maddy enjoys spending time competing her dressage horse and spending time with her husband and pets.
