Representative Hospitality Transactions

• Represented Intercontinental Hotels Group in connection with the negotiation of and consummation of the sale of 16 hotel properties to a publicly traded REIT, which was coupled with the negotiation of a management and operating agreement pursuant to which our client retained operation, control and licensing of the hotels under a long-term management and operating agreement. We subsequently added another 15 hotels acquired in a separate transaction.

• Closed the sale of a hotel which was developed by our client in New Jersey pursuant to a transaction in which our client operated as the developer of the hotel and sold it to a third party purchaser upon completion.

• Negotiated a turn-key purchase and sale agreement pursuant to which a national developer is developing a hotel which will be purchased by our client following construction.

• Concluded the formation of a closed-end investment fund formed to acquire existing hotel properties and the purchase by that fund of three separate properties located in Florida, together with management and operating agreements pursuant to which the hotels would be operated.

• Represented a syndicate of banks providing construction and mini-perm financing for $150 million Westin Convention Hotel in downtown Charlotte, NC adjacent to the convention center. Developer was a joint venture of Portman Properties and Starwood.

• Represented the owner of the Omni Hotel in Washington, D.C. in connection with the sale of the hotel. Closed the acquisition and subsequent renovation of a 500 room hotel in Orlando, FL and a 500 room hotel in Austin, TX for The Edinburgh Fund.

• Represented the development partner in the formation of a fund to develop acquire and manage limited service hotels.

• Represented the developer of the third phase for the Atlantis Hotel on Paradise Island, The Bahamas in preparation of all of the construction documents for an estimated $800 million expansion.
