Bond Practice

Smith, Gambrell & Russell, LLP handles all aspects of tax-exempt bond transactions and prepares all necessary legal documentation, applying the pertinent constitutional principles and laws.

Its attorneys have handled general obligation bonds, system revenue bonds, project revenue bonds, 501(c)(3) bonds, contract- and sales-tax-backed obligations, tax anticipation notes, tax-exempt leases and installment sales, certificates of participation, healthcare and housing bonds, and industrial development bonds.

SGR’s bond and public law practice includes service as bond counsel, underwriter’s counsel, special tax counsel, borrower’s counsel, lender’s counsel, issuer’s counsel, trustee’s counsel and credit enhancer’s counsel. The firm has participated in financings for governmental, educational, industrial, commercial, housing, health care, non-profit, utility and other facilities. Such transactions have included direct and conduit financings, certificates of participation, pooled bonds, refundings, variable rate demand bonds and credit enhancement.

The bond and public law practice group of SGR issues nationally recognized bond opinions. The Firm is qualified as and is included in the list of municipal bond attorneys of the United States in the Bond Buyer’s Municipal Marketplace, known as the “Red Book.”

SGR regularly oversees the coordination of issuers, underwriters, trustees, rating agencies, and their counsel in order to successfully complete public finance transactions. We prepare the necessary bond resolutions and ordinances, bond purchase and underwriting agreements, trust indentures, leases, official statements, security instruments, hearing and validation documents and other related documents.

SGR is qualified to handle “refunding,” as well as “new money” transactions, and is experienced in the federal tax law requirements for tax-exemption, including rebate and avoidance of prohibited arbitrage.

When needed, the SGR bond attorneys call upon the Firm’s finance and securities law, healthcare law, environmental law, and tax law experience, described elsewhere, as an aid in its bond and public law practice. Moreover, SGR’s immediate access to a wide array of experienced personnel and other resources, also described elsewhere, enables it to respond appropriately to the demands of the bond and public law practice.
