Terry Ferraro Schwartz

Terry Ferraro Schwartz is a partner and is Head of the Corporate Department of Smith, Gambrell & Russell, LLP.

Ms. Schwartz’s practice is primarily devoted to securities law, corporate governance matters, Sarbanes-Oxley Act compliance and general corporate law representation of the Firm’s clients whose securities are publicly traded.

Ms. Schwartz has experience in various corporate transactions, including initial and follow-on public and private offerings of securities, going private transactions, mergers and acquisitions, and routine securities reporting and compliance matters. She has represented public company clients in a number of different industries, including wireless telecommunications, automotive sales and finance, banking, steel manufacturing, gaming, retail furniture/home furnishings, trucking and transportation, retail floor coverings, satellite communications equipment, software technology for the retail and hospitality industries, and health information contract management services. She also follows ongoing developments regarding voluntary and potentially required SEC and shareholder reporting related to sustainability and climate change issues.

Ms. Schwartz has extensive experience in all aspects of the public offering process, including assisting clients in establishing a relationship with an investment banking firm, preparing the registration statement and related documents in connection with the registration process and filing same with the Securities and Exchange Commission, responding to comments from the Securities and Exchange Commission, and proceeding as expeditiously as possible to effectiveness of the registration statement. Ms. Schwartz is familiar with the negotiation of underwriting agreements and related contractual arrangements with investment banking firms, and routinely advises clients on these matters.

A native of Savannah, Georgia, Ms. Schwartz received her B.S. degree, summa cum laude, in Criminal Justice from Armstrong State College in 1978. She earned her J.D. degree, magna cum laude, from the University of Georgia in 1981. During law school, she was a member of the Order of the Coif and served on the Editorial Board of the Georgia Law Review. She joined Smith, Gambrell & Russell, LLP in 1981.

Ms. Schwartz is a member of the State Bar of Georgia.
