Michelle E. Edwards
Michelle Edwards is Counsel in the Atlanta office of Smith, Gambrell & Russell, LLP and a member of the Corporate Practice.
Ms. Edwards has extensive experience in the areas of corporate technology/intellectual property law, mergers and acquisitions, technology outsourcing transactions, corporate partnering, sponsorship and joint marketing arrangements, intellectual property licensing and negotiating complex contracts in the technology, health care technology and logistics sectors. Her experience includes a focus on commercial transactions involving technology and intellectual property, including the acquisition and licensing of intellectual property consulting clients in mergers and acquisitions involving substantial intellectual property assets and negotiating other intellectual property agreements and arrangements. Ms. Edwards also has completed many transactions in the corporate finance area, including representing both borrowers and lenders in syndicated and single bank credit facilities, including asset based lending transactions, various senior and subordinated acquisition financings, equipment leasing transactions and reorganizations and workouts.
Prior to joining Smith, Gambrell & Russell, Ms. Edwards was Senior Counsel at McKesson Information Solutions, LLC. Her practice consisted of structuring and negotiating complex domestic and international health care technology transactions involving intellectual property, software and outsourcing. Ms. Edwards also managed domestic and international mergers and acquisitions completed by McKesson in both the health care and technology sectors.
Ms. Edwards attended the University of Mississippi where she received her B.B.A. in Banking and Finance. She received her J.D. degree from Georgia State University in 1995. Ms. Edwards is a member of the Georgia Bar Association and the Atlanta Bar Association.
Ms. Edwards currently serves as Chair of the Circles of the High Museum of Art, and serves as an ex-officio member of the High Museum Board of Directors Advancement and Marketing Committee. She served as Co-Chair of the 2010 High Museum Wine Auction, which is the largest fundraising event for the High Museum and ranks as the top charity wine auction in the United States benefitting the arts. She also served as Co-Chair of the 2009 Atlanta Ballet Ball, which is the largest annual fundraiser for the Atlanta Ballet.
