SGR Represents Sellers in Sale of International Publishing Business

SGR attorneys closed a $130 million transaction wherein the Firm represented all of the selling shareholders in the sale of all of the stock of a 20-year-old privately held international publishing and printing business. The Firm had previously represented the business as general counsel in a variety of matters, including multiple acquisitions, since 1990. An extensive SGR team, led by corporate partners Bill Wood and John Ethridge, was assembled for the transaction. The team dealt with a host of issues, including transaction structure and pricing, trust and estate review and planning for the sellers, and the defeasance of outstanding tax-exempt industrial revenue bonds issued in connection with a prior financing of certain operational facilities of the business. The transaction also raised various employment, environmental, ERISA, litigation, and tax matters. Specific assistance was rendered by a number of SGR attorneys, including partners David Santi (Tax), Hillyer Young (ERISA), and Lisa Ballentine (Employment). The bond defeasance was handled by public finance attorneys Jim Monacell and Ben Brooks, while trust and estate work was handled by attorneys Harry Morgan and Laura Wartner.
