SGR Represents Radiant Systems in Asset Acquisition
SGR represented Radiant Systems, Inc. (NASDAQ: RADS) in connection with Radiant’s acquisition of substantially all of the assets of Aloha Technologies, Ltd. and certain of its affiliates. Founded in 1985, Radiant provides innovative store technology for the food service, petroleum and convenience store, and cinema industries. Aloha was a leading provider of point-of-sale systems for the hospitality industry.
The total purchase price of approximately $45 million was comprised of a combination of cash, promissory notes and restricted shares of Radiant common stock. The transaction involved the preparation and negotiation of an asset purchase agreement, several employment agreements, and numerous other ancillary documents.
SGR has represented Radiant in other acquisitions of both U.S. and non-U.S. based companies. The SGR team assembled for this transaction included John Ethridge, who handled corporate and employment matters, Hillyer Young, who handled employee benefit transition matters and David Santi, who handled tax matters.
