SGR Represents Israeli-based Company in Expansion into the US Market
In the third quarter of 2003, SGR was retained as U.S. counsel in a high seven-figure venture capital transaction involving the expansion of an Israeli-based company into the U.S. market. Due to the company’s existing complex capital and debt structure, the Firm was called upon to devise a method that would allow a variety of previous investors with different debt and equity interests to convert their investments in the company into a newly formed U.S. entity, and then restructure the entire operation so that the existing offshore company became a wholly owned subsidiary of the new U.S. entity. Complicating factors included both domestic and offshore venture capital investors with different investment objectives and restrictions, including regulatory restrictions on one of the U.S. investors. The Firm played a significant role in crafting a structure that met both the regulatory and strategic goals of the various constituent parties and closing the transaction. The SGR team was led by partner Jonathan Minnen with assistance from additional attorneys in the corporate and international practice groups.
