SGR represents AirTran in Hostile Tender Offer in Attempted Acquisition of Midwest Air Group, Inc.
Smith, Gambrell & Russell, LLP represented AirTran Holdings, Inc. in connection with AirTran’s attempted $445 million acquisition of Midwest Air Group, Inc., the public company parent of Midwest Airlines. AirTran Holdings, Inc., a Fortune 1000 company, is the publicly traded parent of AirTran Airways, one of the largest low cost scheduled airlines in the United States.
SGR represented AirTran throughout its efforts to acquire Midwest. The proposed acquisition was to be effected by offering a combination of registered shares of AirTran common stock and cash. The transaction involved preparation of the offer to purchase and a registration statement, a proposed purchase agreement and multiple filings with the SEC, both in connection with the tender offer and the registration statement.
